Welcome to AROMA DI OLIO, the website of Aroma Aroma for Food and Beverages Trading Co. L.L.C. These Terms of Use govern your access and use of the Platform and form a binding contract between the Company and yourself. These Terms of Use must be read in conjunction with the Privacy Policy.

By accessing the Platform, you confirm that you are at least eighteen (18) years of age, which is the legal age to form a binding contract, and you are not a Sanctioned User. In using the Platform, you provide us with your unconditional consent to be bound by these Terms of Use. Please be aware that your current and future use of the Platform is subject to these Terms of Use, as may be updated from time to time.

Please do not use the Platform if you do not accept these Terms of Use in its entirety.

The following definitions apply to these Terms of Use:

Company

means Aroma Aroma for Food and Beverages Trading Co. L.L.C, an entity incorporated under the laws of UAE;

Customer

means registered users of the Platform;

Guest

means a user of the Platform who is not a registered as a Customer;

Platform

means the online website of the Company with the URL https://www.aromadiolio.com, which is fully owned and managed by the Company;

means the Privacy Policy pertaining to the Platform;

Products

means authentic oils, vinegars & healthy condiments sold on the Platform;

Sanctioned User

means a person who is prohibited from dealing with any businesses in UAE under any applicable law;

means these website terms and conditions governing your use of the Platform;

UAE

means United Arab Emirates;

Us/ we/ our (or similar)

refers to the Company and its affiliates, subsidiaries and related entities;

User

means a Guest or Customer using the Platform; and

You/ yours/yourself (or similar)

means a User.

Use of Platform

● Subject to your compliance with these Terms of Use, we grant you a limited, non-exclusive and non-transferable right to access and use the Platform solely for and in connection to purchasing Products in accordance with these Terms of Use. Any rights not expressly granted in these Terms of Use shall be considered as reserved by us.

● The Products shall be for your personal use only and any resales of the Products or any other commercial use of the Platform is strictly prohibited.

● You are not permitted to download, copy, reproduce, duplicate, sell or transfer any content of the Platform (either in their original form or after modification) for any commercial purpose without the prior written consent of the Company.

● You are not permitted to use robots or similar data mining or data gathering and extraction tools for the derivative use of the Platform or otherwise.

● You must not transfer viruses, trojans or other features that may impair the Platform.

● You must not make any false or fraudulent reservations of Products so as to mislead the Company.

● You must not transmit any unlawful, infringing, defamatory, threatening, indecent, obscene, pornographic or profane material or content that may constitute a criminal or civil offence or otherwise violate any applicable laws.

● You hold responsibility to be fully aware of the laws applicable to your use of the Platform and you acknowledge that we are under no obligation to advise this to you.

● The use of the Platform will be prohibited and/or refused (upon us being aware of notified) to a Sanctioned User.

● We reserve the right to restrict or block access to the use of this Platform without notice or liability whatsoever, if we discover a breach to these Terms of Use or a breach in the Platform in any manner or if we are requested to do so by a legal or regulatory authority.

● Please note that your access or use of the Platform may be restricted, impacted or affected by causes beyond our control that we will seek to immediately rectify as soon as we become aware, or are notified.

● The Customer or Guest shall be responsible and keep the Company fully indemnified from any damages, losses or claims arising as a result of any violation of these Terms of Use, whether intentional or negligent.

Registration

• Customers may choose to use the Platform as a Customer or a Guest and agree that certain Platform features may be restricted to Guests.

• The registration process requires you to disclose the following basic personal information:

- full name, email address, phone number, user name and a private password for your account, address, location.

• Each registration is valid for the User only and is non-transferable.

• You agree to provide accurate and complete information for registration as a Customer. You are prohibited to use a false email address or impersonate a person for the purpose of registration or at any other point of engagement with the Platform.

• The Platform reserves the right, at any time and without reason to decline or cancel your registration at its sole discretion and without notice or liability whatsoever.

• You are solely responsible for the type and level of disclosures you make to the Platform. Our commitment to confidentiality is in accordance with our Privacy Policy. The security of your username and password on the Platform shall be your sole responsibility and you shall immediately notify us if you lose access to your account.

Purchase of Products

• A user may select desired Products on the Platform and add them to a virtual basket, subject to their availability.

• Description, price and other Product specific details will be made available in the landing page of each Product.

• All images of Products are for illustrative purposes only and actual Products may slightly vary. Product descriptions are based on the understanding of the Company from the source of origin or suppliers and may vary due to several factors outside the control of the Company, such as weather.

• Payments for Products shall be made by (i) debit or credit card via ‘Stripe’ payment platform at the time of order confirmation or (ii) by cash on delivery for 'Standard’ shipping policy only. A Cash on Delivery fee will be applicable on all orders confirmed on cash on delivery basis. Our commitment to protect your financial information will be in accordance with our Privacy Policy.

• All payments for Products shall be made in AED.

• All applicable taxes, discounts and fees in relation to a purchase order shall be indicated prior to the order confirmation.

• All bank charges and foreign currency exchange risks shall be borne by the User.

• Cancellation of confirmed orders will not be facilitated, unless decided otherwise by the Company at its sole discretion on a case-by-case basis.

• Customers will need to provide a delivery or shipping address at the time of placing an order on the Platform.

Refund, Exchange & Return Policy

• We take customer satisfaction very seriously, and in the case of any issues with your order, please contact us via https://www.aromadiolio.com/contact. In appropriate cases, we will exchange Products or make full or partial refunds, upon reasonable consideration. In every case, we will do our best to ensure your satisfaction.

• No refunds or exchanges of Products will be considered for any reason whatsoever unless in case of a material manufacturing defect.

• Any material damages or manufacturing defects to Products must be reported to us in writing to https://www.aromadiolio.com/contact, within 24hrs of delivery or your receipt of the Products with supporting photographs. No complaints will be considered thereafter.

• Notwithstanding anything, the company is under no obligation to exchange Products or refund any payments made for Products, excluding in the events where:

- orders are not delivered;

- the User has been overcharged by the Company;

- orders delivered are incorrect, unless the User agrees to wait for the correct order to be delivered; or

- Products are damaged.

• Refunds, if approved by Company will be made only through the original mode of payment.

Shipping Policy and Delivery of Products

• Our shipping policy for domestic deliveries (within UAE) and international deliveries (outside UAE) shall be as follows:

Domestic

Standard (Next Working Day)

Orders to be placed before (UAE time) 1600hrs. If orders are placed after 1600hrs they will be delivered the following working day.

Shipping charges: 25 AED or free on purchases over 250 AED

Deliveries to be expected (UAE time) 0900hrs - 2100hrs

Cash on delivery not available. Pre-paid only

Express (Within 4 Hours) – within Dubai city limits only

Orders to be placed before (UAE time) 1600hrs. If orders are placed after 1600hrs we cannot guarantee same day delivery in which case such orders may be delivered the following working day.

Shipping charges: 45 AED

Deliveries to be expected (UAE time) until 2200hrs

Cash on delivery not available. Pre-paid only

International

Shipping charges: to be provided as applicable at check-out

Deliveries to be expected within 3-10 working days

Cash on delivery not available. Pre-paid only.

• Card payments upon delivery will not be accepted in any event.

• Any change of delivery address will be subject to additional charges as will be communicated by the Company.

Online Communication

• The Platform will communicate and engage with you via email, including to send notifications, order confirmations, approve refunds, and receive feedback, for which you hereby consent.

• Inquiries, complains, notifications or any other communications to us may be directed via the Platform at https://www.aromadiolio.com/contact

Limitation to Liability

• Nothing in the Platform shall be construed as guarantees, warranties, medical or any other professional advice of any kind.

• The Products shall be applied, used or consumed with consideration to any allergies, sensitivities or medical conditions you may have at your sole risk and responsibility.

• The Company makes no warranty or representation or guarantee regarding any information contained in the Platform or the suitability of Products for any particular purpose.

• The Company neither assumes nor holds any liability for any direct, indirect, special, exemplary, incidental or consequential damages, caused by the application, consumption or use of any Product.

• The Company shall not be responsible to perform its obligations under this Agreement in the case of a circumstance beyond its control affecting its performance hereunder.

• You expressly acknowledge and agree that the maximum limit for any claim against the Company shall not, in any event, exceed the purchase price of relevant Products that have been purchased by you.

Intellectual Property

• The entire content of the Platform and design of the Products including but not limited to text, graphics, photographs, videos, interactive presentations, software, logos, text, arrangements, layouts, designs, trademarks, trade names and other intellectual property are our sole and exclusive property or are licensed to us, with all rights reserved and protected by international copyright laws. Accordingly, you agree not to use, disseminate, publish or reverse engineer any content or other intellectual property rights on this Platform without our prior written consent.

Amendments

● We reserve the right to change any content on the Platform including the Terms of Use and Privacy Policy without any prior notice.

● The last updated date of these Terms of Use will be indicated at the bottom of this document. We request you to read and understand the updated Terms of Use prior to using the Platform. Your continued use will automatically be deemed as your consent to the Terms of Use applicable for such time being.

Severability

• If any portion of these Terms of Use are determined by a competent authority to be invalid, unlawful or unenforceable to any extent, such term, condition or provision will to that extent be severed from the remaining Terms of Use, which will continue to be valid to the fullest extent permitted by law.

Termination

• We reserve the right to terminate these Terms of Use, at any time without notice or liability whatsoever.

• Termination of these Terms of Use will not affect either party’s accrued rights or liabilities at the date of termination.

Governing Law

• Any dispute arising out of or in connection with these Terms of Use or Privacy Policy, including but not limited to any question regarding its existence, formation, performance, interpretation, validity or termination, shall be referred to and finally resolved exclusively by arbitration by three (3) arbitrators in English language and under the rules of the Dubai International Arbitration Centre with its seat in Dubai, United Arab Emirates. The governing law of these Terms of Use shall be the applicable laws of the Emirate of Dubai and the federal laws of the UAE.
